The Corporate Counsel has global responsibilities for various types of commercial transactions and corporate matters, including counseling, drafting and negotiating commercial agreements, corporate governance, employee training, and business risk and process management. The Corporate Counsel will provide direct client management, counseling and training responsibilities and will have legal oversight for their assigned business areas. The position will support Global Product Supply; Business Process and Technology; Real Estate, Facilities & Corporate Services; and special projects on an \xe2\x80\x9cas needed\xe2\x80\x9d basis to provide general commercial legal support to the Company\xe2\x80\x99s business at large in matters beyond the Counsel\xe2\x80\x99s designated areas of responsibility. Essential Duties and Responsibilities:

  • Counseling, reviewing, drafting and negotiating commercial agreements such as product and material supply agreements, licensing (including procurement) agreements, third party manufacturing agreements, service agreements, business sale and acquisitions, basic financing transactions, real estate transactions, information technology related agreements, joint development agreements, consulting agreements, and secrecy agreements. Some of this work may be done in cooperation with other attorneys in the law department.
  • Identifying and analyzing legal issues and developing and effectively communicating sound, understandable legal and business recommendations to the appropriate business managers.
  • Participating in a collaborative manner in cross-functional business teams to identify, evaluate, and resolve complex business issues.
  • Ensuring compliance with applicable legal requirements and company policies.
  • Preparing various corporate governance documents, such as resolutions and proxies.
  • Working with business teams to create corporate policies, forms, and procedures.
  • Working with counsel outside the United States to determine applicable legal and regulatory issues and creating appropriate solutions.
  • Managing litigation matters as they arise in the assigned business areas.
  • Developing and teaching in-house seminars to clients relating to various corporate and transactional issues.
Required Skills / Experience / Competencies:
  • 5+ years of legal practice in corporate transactions and contracts
  • JD degree and admission to the bar in at least one US state
Preferred Skills / Experience / Competencies:
  • Outstanding analytical, consulting, drafting and negotiation skills with the ability to make well-reasoned legal and business judgments.
  • Some familiarity with basic concepts of intellectual property law.
  • Excellent oral and written communication skills, with the ability to succinctly and positively influence others.
  • Proven ability to deal tactfully and confidently with a variety of personal styles across a large number of diverse international internal and external groups.
  • Proven ability to prioritize and manage projects or requests from several client groups. Strong leadership skills with a \xe2\x80\x9cresults-oriented\xe2\x80\x9d mentality.
  • A confident, positive, collaborative and assertive personality conducive to effective and harmonious interactions, both with other attorneys and with the Company\'s technical and business personnel.
  • Willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities within the Law Department on an \xe2\x80\x9cas needed\xe2\x80\x9d basis
