Job Description


The Opportunity:

Reporting to the Associate General Counsel, North America, as the Lead Counsel, Commercial, North America, you will be the senior attorney with primary responsibility and accountability for planning, implementing, and executing the delivery of risk-optimized, comprehensive legal advice, support, and strategy to North America Commercial Operations (NACO). You will work closely with the NACO senior and executive leadership as a member of the NACO Leadership Team (\xe2\x80\x9cNALT\xe2\x80\x9d). You will also collaborate closely with global and regional Enterprise Risk, Ethics & Compliance colleagues to help shape company policies and foster a consistent, compliant approach to business.

The Role:

Provide informed, actionable legal and strategic counsel and support for CSL Behring\xe2\x80\x99s NACO organization, including:

  • Advise NACO management at a strategic level and on major tactical initiatives and participate actively as a member of the NACO Leadership Team and U.S. Pricing Committee.
  • Advise NACO leadership on a broad range of legal issues related to the N.A. commercial activities of a global specialty pharmaceutical business, including with respect to new product launches, gene therapy sales, and value-based pricing. Develop and maintain a broad and deep knowledge of the NACO business, including products, strategies, and long-term goals, to provide business-focused, highly actionable advice to enable risk-optimized decisions by the business.
  • Monitor the external legal environment at the state and federal levels to understand areas of developing legal risk, working in collaboration with Public Affairs & Government Advocacy.
  • Oversee and direct the legal aspects of contract strategy and execution for all NACO functions, partnering with legal colleagues to provide outstanding customer service; Review, draft and negotiate high-value product purchase, sale, distribution, and related agreements accounting for ~ $5B in yearly revenue.
  • Manage and mentor multiple attorneys and other team members supporting NACO to provide comprehensive legal support for NACO and related client groups.
  • Provide/manage legal support for advertising, promotional, and communications campaigns, including Promotional Review Committee(s), Medical Affairs communications, and related corporate press releases and messaging.
  • Manage and/or direct company investigations and litigation pertaining to NACO; partner with Group General Counsel or Deputy General Counsel, CSL Behring General Counsel and/or AGC, North America on same.
  • Provide legal support for regional Regulatory Affairs, including labelling support and FDA regulatory counsel as needed in connection with licensed products (promotion/packaging/labeling) and efforts to obtain licenses for products, as well as analyzing and interpreting regulations governing promotional and investigational activities.
  • Partner with the Ethics & Compliance Department to help ensure business processes and activities are and remain in compliance with applicable laws, regulations, and company policies, and to maintain open and effective avenues of communication among Legal, Ethics & Compliance, and the business.
  • Engage and manage outside counsel.
  • Proactively identify needs and opportunities for training client groups on legal matters and manage and direct the development and delivery of training as required or requested to those client groups.
  • Establish and build optimal working relationships with internal clients based on mutual trust and respect, and comprehensive knowledge of the company\xe2\x80\x99s business and its needs and goals.
  • As needed, provide legal advice and support in connection with non-routine special projects, such as business development activities and other strategic business transactions involving CSL Behring and its affiliates.
Your Skills and Experience:
  • Bachelor\xe2\x80\x99s Degree and a Juris Doctor from an accredited law school. Superior academic credentials preferred.
  • Must be licensed to practice law in Pennsylvania, or hold (or be eligible for and able to obtain promptly) a Limited In-House Corporate Counsel License under PA BLE Rule 302.
  • Minimum of 12 years in practice, with at least 5 years applicable Legal or Compliance experience directly supporting a pharmaceutical or device company.
  • Substantial and broad-based experience in health care law required; previous experience supporting, either as in-house (strongly preferred) or external counsel, the commercial activities (sales, marketing, interactions with distributors, specialty pharmacies, health care professionals/health care organizations/patient organizations) of a pharmaceutical company strongly preferred.
  • Specialty pharmaceutical experience preferred.
  • Experience with FDA and other relevant pharmaceutical industry laws and regulations, especially product promotion and distribution, strongly preferred.
  • Experience with pharmaceutical compliance programs desirable; substantive experience with and knowledge of pharmaceutical/health care industry compliance requirements is required.
  • Strong drafting and negotiation skills required, as well as ability to produce quality work under pressure and while balancing multiple priorities.

  • Ability to anticipate and understand business needs and goals and incorporate that understanding in advice to the business and its leadership that enables the business to develop optimal strategies and make well-informed decisions based on a full understanding of risks and benefits.
