Job Description


Title: Legal Assistant Location: Columbia, MD Position Summary: Would you like to be part of an inhouse legal department in a highly innovative, truly global and rapidly growing company? Ambu\'s Legal Assistant will play a key role in supporting the work of the US legal department. Primary Responsibilities:

  • Manage the contracting process for the Legal department which may include receiving requests for agreements, generating contract drafts from template and tracking status of all contracts, starting at the request stage through the full contract life cycle.
  • Maintain relevant communications for contracts.
  • Ensure contracts are sent to US Legal Counsel for redline review.
  • Understand contract terms and capture agreement details in the agreement tracking system including type of agreement, purpose, effective/expiration/termination dates, termination clause, payment obligations, internal company contact, and other key terms. Update and maintain calendar reminders related to key contract terms.
  • Enter all requisitions for legal department.
  • Provide legal assistant support on litigation matters, including coordinating meetings and organizing relevant documentation.
  • Track legal spend with all outside counsel and assist in legal budget forecasting.
  • Make appropriate changes to agreements at the request of Counsel and assist in routing final agreements for approval and signature.
  • Work with different departments to ensure necessary agreements are in place.
  • Assist with the preparation of organizational documents including any corporate governance materials and update/maintain corporate governance documentation.
  • Conduct legal research as requested by US Legal Counsel.
  • Assist in the preparation of materials for training conducted by Legal Department and coordinate implementation of training.
  • Provide support to projects and initiatives in the Legal Department.
  • Support attorneys and US Compliance officer with additional work as necessary.

QUALIFICATIONS
  • Bachelor or associate degree required.
  • Minimum of 5 years experience in a paralegal/legal assistant role within a corporate environment required, experience in the biotech/life sciences industry highly preferred.
  • Paralegal certificate and notary commission helpful .
  • Government contracting experience helpful.
SKILLS, KNOWLEDGE AND ABILITIES
  • Strong analytical, interpersonal, verbal and written communication skills.
  • Ability to prioritize and manage multiple projects simultaneously, follow through on issues in a timely manner and consistently deliver professional and constructive solutions, with minimal supervision.
  • Self-motivated and ability work independently.
  • Ability to collaborate well with colleagues across diverse internal teams both nationally and across the world.
  • Flexible manner and ability to thrive in fast-changing environments.
  • Proficiency in Microsoft Outlook and Word, prior experience in Excel and PowerPoint.
  • Prior experience in contract management, which may include working with contract management software.
  • High integrity and deadline driven.
