Avant Tech is seeking a highly motivated and experienced Corporate Transactional Attorney to join our dynamic legal team. This role will involve working closely with various corporate clients, providing legal expertise on a wide range of transactional matters.

Key Responsibilities::

Draft, review, and negotiate a variety of contractual documents, including purchase agreements, shareholder agreements, and operating agreements. Advise clients on mergers, acquisitions, and divestitures, ensuring compliance with applicable laws and regulations. Conduct due diligence and assist in preparing legal opinions and memoranda. Assist in structuring and reorganizing corporate entities for optimal legal and tax efficiency. Stay current with legal trends and developments in corporate law to provide high-quality legal advice to clients. Collaborate with cross-functional teams to support business objectives and ensure favorable outcomes.

Requirements:

Juris Doctor (JD) from an accredited law school. At least 4 to 7 years of experience in corporate transactional law, preferably in a large law firm setting. Proven expertise in drafting, reviewing, and negotiating complex transactions. Strong understanding of corporate governance, statutory and regulatory requirements. Strong research and analytical skills Active membership in a state bar association. Excellent analytical, research, and writing skills. Demonstrated ability to manage multiple projects and deadlines simultaneously. Strong interpersonal skills, with the ability to work efficiently in a collaborative environment.
