Associate General Counsel of Operations

SUMMARY: The Associate General Counsel of Operations assists the General Counsel of Operations with advising The Dutra Group (\xe2\x80\x9cCompany\xe2\x80\x9d) as to all matters of a legal nature relating to the Company\xe2\x80\x99s estimating and field operations activities.

Under the General Counsel of Operations\xe2\x80\x99 oversight, this work includes assisting the General Counsel of Operations in advising the Company with regard to legal rights and obligations, compliance issues, and permitting issues relating to estimates and field operations activities; review, negotiation, and approval of contracts with public agencies, private owners, and private contractors, vendors, consultants, and suppliers; recommending changes to corporate policies and practices to ensure that the company is in compliance with applicable federal, state, and local regulatory requirements; review and oversight of bids and proposals submitted for potential work to ensure compliance with bid instructions and applicable requirements; participation in discussions with senior management relating to strategic operational and business issues; oversight of the Company\xe2\x80\x99s contractor license library, small business subcontracting obligations, preliminary lien and lien release processes, and teaming and joint venture obligations; oversight of claims and civil litigation arising from the Company\xe2\x80\x99s estimates and field operations; and performance of the other essential duties and responsibilities listed below.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned:

Assist with advising the Company with respect to its legal rights and obligations in matters involving or relating to estimates, bids, requests for proposal, and field operations activities;

Assist with advising the Company with respect to compliance and permitting issues relating to estimates, bids, requests for proposal, and field operations activities;

Assist with reviewing, negotiating, and approving all of the Company\xe2\x80\x99s operations-related contracts, including agreements with government agencies, private owners, contractors, vendors, suppliers, unions, individuals seeking access to the Company\xe2\x80\x99s property and equipment, etc.;

Assist with monitoring the Company\xe2\x80\x99s compliance with federal, state, and local laws and regulations relating to contracting, government contracting, and the Company\xe2\x80\x99s estimating and operations activities;

Assist with recommending changes to corporate policies and procedures as necessary to ensure that the Company is in compliance with applicable federal, state, and local regulatory requirements relating to its estimating and operations activities;

Assist with reviewing bid documents prior to submission, which entails coordinating with the Estimating Department to ensure compliance with bid instructions and applicable requirements;

Assist with overseeing claims and civil litigation arising from the Company\xe2\x80\x99s bids and field operations;

Assist with participating in discussions with senior management relating to strategic operational and business issues;

Assist with overseeing maintenance of the Company\xe2\x80\x99s contractor and business license libraries and ensure the licenses remain current;

Assist with overseeing the Company\xe2\x80\x99s small business subcontracting obligations, including the submission of reports relating to the Company\xe2\x80\x99s use of small and disadvantaged businesses, the monitoring of compliance with the Company\xe2\x80\x99s Small Business Subcontracting Plans, and the planning and documentation necessary to ensure that the company can satisfy elements of an OFCCP and SBA audit;

Assist with overseeing the Company\xe2\x80\x99s preliminary lien and lien release processes in coordination with the relevant Accounting and Operations stakeholders to ensure compliance with applicable requirements;

Assist with providing advice regarding the Company\xe2\x80\x99s joint venture and teaming obligations;

Assist with monitoring and auditing the Company\xe2\x80\x99s practices regarding subcontractor lien releases, certificates of insurance, etc.;

Assist with monitoring and auditing subcontractor compliance with flow-down provisions, certified payroll requirements, etc.

Assist field personnel with compliance questions, written communications, and other tasks as necessary;

Cultivate a culture that embraces and acknowledges the need for corporate compliance by educating and motivating employees in a way that involves mutual respect;

Discuss concerns and potential solutions with management on an ongoing basis.

QUALIFICATIONS: To perform this job successfully, an individual must be able to perform each essential duty listed above. A successful candidate must also have effective interpersonal and communication skills, as well as a people-oriented and collaborative leadership style that seeks to educate and motivate. This individual must also be proactive, assertive, self-motivated, organized, capable of working under pressure, and able to prioritize. A successful candidate must have a sense of urgency in finding solutions to problems and a commitment to high performance and corporate compliance.

  • Education and Experience: A law degree (J.D.) and \xe2\x80\x9cPreferred legal experience: 2-8 years\xe2\x80\x9d. Previous federal contractor and/or construction experience is preferred.
  • Certificates, licenses, registrations: California bar membership (preferred) or California in-house counsel registration is required.
  • Language Ability: Ability to read, analyze, and interpret complex documents and to respond effectively to sensitive inquiries.
  • Mathematical Skills: Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.
  • Reasoning Ability: Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to understand and interpret technical instructions in word, mathematical or diagram form.
  • Computer Skills: to perform this job successfully, an individual should have knowledge of and experience with legal research, and advanced abilities in Microsoft Office software including Outlook, Word, Excel, and PowerPoint. Strong keyboarding skills. Viewpoint experience preferred but not required.
  • Physical Presence: Regular and predictable physical presence in the corporate office is an essential qualification for this position due to the need for face-to-face contact and daily interaction with various department to perform the essential duties of the job.
  • Current valid Driver\xe2\x80\x99s License required.
  • Ability to travel when required.


SUPERVISORY RESPONSIBILITIES: This position may supervise temporary employees on an as-needed basis.

PAY RANGE (DOE): $100,000 - $175,000 per year.

Dutra collects the following categories of PI for job applicants and employees:
  • Personal identifiers provided in job application process, on-boarding process, and benefit selection process. The purpose of this information is to make employment decisions, verify work authorization status, manage the employment relationship with Dutra, and facilitate employment administration, processing, and maintenance, such as providing benefits to employees and their beneficiaries, processing payroll, and general office administration.
  • Financial information. The purpose of this information is to administer payroll and benefits, process work-related claims, and facilitate all related accounting and auditing.

The Company may sometimes require an employee or worksite visitor to take a COVID-19 rapid test prior to entering a Company worksite. The purpose of this information is to keep all Company locations as safe as possible and to protect the health of Company employees, their families, and all others that visit the Company\xe2\x80\x99s worksites.

The Company continues to evaluate its practices and records in relation to the CCPA to ensure compliance with all requirements.
