The Associate General Counsel \xe2\x80\x93 M&A and Corporate Transactions will perform legal responsibilities as part of the Corporate Legal Staff, with a particular focus on mergers and acquisitions, joint ventures, and other transactions, but also including contract review, drafting and negotiation, compliance, and other legal functions. As a member of the Corporate Legal Staff, the Associate General Counsel \xe2\x80\x93 M&A and Corporate Transactions will provide legal support to Business Unit operations as requested/assigned. RESPONSIBILITIES:
Work with the M&A team and the Business Units on acquisitions, dispositions, and joint ventures, including deal structuring, due diligence, drafting and negotiation of purchase agreements, joint venture agreements, letters of intent and confidentiality agreements.
Work with the Human Resources team, the Indirect Center of Excellence (logistics, IT and HR-related procurement), Textron Global Services and other corporate functions to provide legal support.
Work directly with the Business Units on legal matters as assigned.
Work with the Ethics & Compliance team and the Business Units with respect to issues of compliance with laws and company policies.
Develop and deliver training on various preventative law topics for Corporate Office and Business Unit personnel.
Retain and manage outside counsel to ensure high-quality, cost-effective service.
Perform other duties and special projects as assigned.
Protect and maintain the privacy of employee personnel records including, but not limited to, personal and compensation information about employees.

EDUCATION/EXPERIENCE
J.D. required.
Minimum of six years\xe2\x80\x99 experience as an attorney working in private practice or in a combination of private practice and a corporate legal department.
Expertise handling M&A and related transactions gained while in private practice, and extensive knowledge of corporate business laws and regulations.
Experience in both private M&A transactions and public takeovers.
Experience in antitrust or SEC regulatory is a plus.
SKILLS/COMPETENCIES
Ability to manage and independently handle M&A and related transactions.
Ability to manage outside counsel on complex transactional matters.
Excellent command of the English language; ability to communicate clearly both orally and in writing.
Ability to quickly analyze and propose a course of action.
Ability to draft and revise complex legal documents.
Good judgment and business acumen with respect to complex matters.
Good negotiation abilities.
Strong interpersonal skills.
Enjoy working in a fast-paced environment and brings full efforts to bear on each task.
Ability to work cooperatively with others and to function well in a team environment.
