Roles and Responsibilities:

Represent banks and private credit funds on loans to tech, life sciences, and middle-market companies Draft and negotiate complex commercial finance documents Advise clients on structuring venture debt and growth credit transactions Conduct due diligence and collaborate with cross-functional legal teams Research and analyze legal trends impacting venture finance Support closings and execution of lending deals across jurisdictions Maintain and develop client relationships in the lender-side ecosystem

Job Requirements:

JD from an accredited law school Admitted to practice in NY or CA (or eligible to waive in) Minimum 4 years of experience in commercial finance law Experience representing

banks or private credit funds

in venture/growth finance transactions Deep understanding of commercial lending structures Excellent drafting, research, and client service skills Ability to manage transactions independently and collaboratively

Preferred:

Prior work with startup/tech/life sciences borrowers (preferred)

Preferred:

AmLaw 100 or BigLaw training (preferred)

Preferred:

Experience advising on multi-party or cross-border lending (preferred)

Job Type: Full-time

Pay: $310,000.00 - $365,000.00 per year
