Title: Legal Counsel

Reports to: Assistant General Counsel

Location: Remote-eligible!

Position Overview

Terex Corporation is seeking a Legal Counsel to join the Corporate Legal team to handle global labor and employment matters and assist with commercial legal matters. The Legal Counsel will be a member of the Senior Human Resources team. Key areas of responsibility will include:

Labor and Employment Responsibilities

Provide high quality legal advice and counsel in a timely fashion to HR professionals and business leaders on global employment, labor law and works council matters

Provide advice and counsel on restructuring, performance management, hiring, disciplinary issues, reasonable accommodations, leaves of absence, complaints of discrimination, wage and hour issues, noncompetition and non-solicitation agreements, and any other employment related matters

Responsible for accurate and timely US required government filings (i.e, EEO-1s), annually update, coordinate and deliver Affirmative Action Plans and work with Diversity, Equity and Inclusion team to deliver results and develop action plans

Draft, review and maintain employment-related documents, policies and processes (e.g., offer letters, separation agreements, compensation and benefits plans, employee handbook, etc.) to ensure they are current and compliant

Develop and implement best practices, tools, guidelines, programs, and solutions that can be effectively implemented within or across multiple geographies

Oversee and manage response to administrative charges, disputes and litigation, including supervision of outside counsel and maintaining legal budget

Maintain an up to date knowledge of relevant United States and global labor and employment laws and regulations

Conduct or supervise HR related investigations and employment law related audits as needed

Provide advice and counsel regarding labor relations and union issues, including collective bargaining and grievances

Develop and deliver training to managers and HR on various employment-related topics

Support merger, acquisition and divestiture activities (e.g. conduct due diligence and advise on integration)

Provide advice and counsel on immigration matters

Provide legal guidance on data privacy, supporting the Company\xe2\x80\x99s Data Privacy Officer and Terex businesses

Become a trusted advisor and business partner across the Company by providing counsel and guidance

Manage and supervise the Senior Manager, HR Compliance

Provide other support as requested or required

Commercial Responsibilities

Provide advice and counsel on commercial legal matters to Terex team members in sales, operations, finance, marketing and other department

Draft, review and negotiate various types of commercial agreements with customers, suppliers, distributors and others

Develop, implement, refine and update standard commercial templates, processes and best practices across Terex\xe2\x80\x99s global operations

Provide advice and counsel to Terex team members on legal risks, issues and potential liabilities associated with commercial agreements, transactions and relationships

Develop and provide training and education to Terex team members on a variety of commercial legal issues

Provide legal and strategic business advice to help ensure Terex activities, policies, practices and transactions comply with all Terex corporate policies and all applicable laws, rules and regulations

Support merger, acquisition and divestiture activities

Become a trusted advisor and business partner across the Company by providing counsel and guidance for accomplishing overall business objectives

Provide legal assistance with any strategic projects as such need may arise

Required qualifications

J.D. degree from an accredited law school

Be admitted and in current good standing in a state bar

5+ years demonstrated legal experience in the areas of labor and employment law and litigation at a law firm or in combination with experience at a corporate legal department. Union experience is a plus

Fluency in English; knowledge of additional languages is desirable

Be results oriented, able to act independently, take initiative and responsibility, set appropriate priorities, multi-task, proactive, strategic, work efficiently, respond promptly, follow through on projects to completion respond promptly and handle a diverse workload and a variety of matters in a fast paced, rapidly changing environment.

Preferred Qualifications:

Experience drafting, reviewing and negotiating a broad range of commercial agreements

Experience with commercial litigation at a law firm and/or as part of a corporate legal department.

Travel expectations

The successful candidate must be willing to travel domestically and internationally on occasion upon business requirements.

The salary range for this position is $120,000 to $180,000.
