The ideal candidate will have a strong foundation in corporate governance, entity formation, compliance, and M&A transactions, including due diligence and regulatory filings. The role includes managing all phases of transactional matters, from entity formation and due diligence to closings, filings, and post-closing support.
Duties and Responsibilities:
Support attorneys with corporate transactions, M&A, securities filings, and private equity matters.
Form, maintain, and dissolve business entities; manage filings, EINs, taxes, and minute books.
Draft and organize governance documents (operating agreements, bylaws, resolutions, stock agreements).
Conduct due diligence and manage closings for M&A, real estate, and financing transactions.
Prepare and file regulatory documents (Form D, Form ID, Blue Sky) via EDGAR/EFD; handle UCC filings/searches.
Coordinate with clients and attorneys on entity maintenance and compliance.
Qualifications:
5+ years as a Real Estate & Corporate Transaction Paralegal in a mid-to-large law firm.
Experience with client billing and time entry systems (e.g., Elite, Aderant); ability to consistently track and bill time.
Securities & Compliance: EDGAR
Microsoft Office Suite: Advanced Word (styles, TOCs, track changes, document comparison), Outlook, Basic Excel & PowerPoint
