This is a multi-level posting. Candidates may be considered for any of the posted levels, depending on their level of experience and depth of expertise.

Provides legal support for MidAmerican Energy Company to assist it in accomplishing its business objectives, consistent with existing laws, regulations, and contractual obligations. This position will focus on transactional work involving the negotiation, drafting, and review of various real property contracts and agreements, oversight and management of intellectual property issues and matters, transactions involving the Company\xe2\x80\x99s buildings and utility facilities (including gas, electric and fiber facilities), general supply chain and procurement matters, and corporate governance matters. The position will provide legal advice to a variety of business units and may engage in investigation, advice or management for disputes, claims, or litigation associated with the business units and activities supported. The position may have direct interaction with a variety of state and local agencies and bodies in Iowa, Illinois, Nebraska and South Dakota, including city and county councils, commissions and boards and state public utilities boards and commissions, as well as federal agencies and bodies such as the Federal Energy Regulatory Commission and the Federal Communications Commission.

Primary Job Duties and Responsibilities (Essential Job Function)

Contract and agreement negotiations, drafting, review, and enforcement, with an emphasis on contracts and agreements related to real property and facility contracts and agreements. Representative contracts and agreements include:

  • Easement and purchase agreements for real property necessary for gas, electric and fiber installations.
  • Agreements for the sale of excess real property to third parties and associated release of mortgage documents
  • Agreements for location or relocation of utility facilities in state or local right-of-way, including city utility franchise agreements
  • Lease and purchase agreements for company workspaces and other facilities
  • Agreements and contracts for communications attachments to electric distribution poles pursuant to applicable Federal Communications Commission and state regulations
  • Agreements and contracts with regional transmission organizations related to generator interconnections
  • Agreements and contracts for diversified activities such as development projects, lease of \xe2\x80\x9cdark fiber\xe2\x80\x9d for middle-mile broadband purpose, and EV charging host sites and locations
  • Purchase orders and procurement-related agreements for the purchase of equipment and professional services
  • Non-disclosure and confidentiality agreements
  • Settlement agreements and other dispute resolution agreements
Analysis and advice regarding a wide variety of legal questions, including questions relating to real property, easements and right-of-way.

Oversight of intellectual property matters, including trademark/service mark investigations, acquisition, renewals and disputes; manage outside counsel engaged in intellectual property matters.

Representation before regulatory agencies and bodies and at public meetings, including preparation of written materials and appearances at hearings or other meetings.

Legal compliance and preventive law counseling and training.

Risk analysis, counseling and management.

Dispute avoidance counseling, dispute and litigation management and support, outside counsel management.

Analysis of business opportunities.

Additional responsibilities as requested or assigned.

Qualifications

Must have a law degree from an accredited law school.

Must be licensed to practice law in Iowa or be licensed in another state and subsequently licensed in Iowa within one (1) year after start date.

Three years of legal experience is required for the Attorney level position; six years of legal experience is required for the Senior Attorney level position.

Experience in a regulated, energy, or construction-related industry, regulatory agency, or law firm is a plus.

Must demonstrate sound oral and written communication skills, sound legal and business judgment, and an ability to fulfill leadership responsibilities as assigned; taking an ownership approach to projects and tasks is critical.

Must have a good understanding of the law in the required areas of expertise and be proficient in its interpretation and application.

Must possess effective analytical, problem-solving, and decision-making skills.

Must be able to handle time-critical assignments, appropriately prioritize projects, and meet established deadlines.

Must be available outside of normal working hours, as needed.

Must be able to handle a heavy workload, multiple project responsibilities and continually changing priorities.

Must be willing to travel periodically for projects, hearings, litigation, negotiations, etc.

Must support and model MidAmerican Energy\xe2\x80\x99s employee policies and procedures, including workplace safety rules.

Must exercise proficiency in the use and application of computer programs, including Excel spreadsheet, Microsoft Word, and Outlook e-mail programs.
